Task A: Wavix Operating Responsibilities • Due Date: 5/18/2000

A. Wavix has sole responsibility for providing, operating, maintaining, and expanding the existing Wavix satellite communication system:
1. Per its pre-existing agreement with VITA, Wavix will provide VITA with up to 50% of the communication capacity of its existing two-satellite communication system for VITA's humanitarian uses at no cost. The Joint Venture will have access to satellite capacity from VITA.
2. Wavix will provide gateway communication stations to service the humanitarian capacity requirements
3. The cost to implement any increase in system capacity due to increased use by the Joint Venture will be subject to negotiation among the parties
4. Wavix will assume responsibility for all annual satellite communication, maintenance, and operating costs
5. Wavix will design, develop and provide all mobile ground terminals to be used for humanitarian purposes on the Wavix satellite system
6. Wavix will provide technical support, warranty and repair services for the Wavix mobile terminals
